Acceptance of Terms

By accessing and using the Stellanex website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms of service ("Terms") govern your access to and use of the Stellanex website (stellanex.pro) and our digital certification management platforms and services (collectively, the "Services") provided by Stellanex B.V., a company registered in the Netherlands with registration number KvK97643128.

Description of Services

Stellanex provides digital certification management platforms and related services for educational institutions. Our services include but are not limited to platform development, certification workflow management, technical support, and training services. The specific services provided to each client are detailed in separate service agreements.

User Obligations

By using our services, you agree to:

Provide accurate and complete information when requested
Use the services only for lawful purposes and in accordance with these Terms
Not interfere with or disrupt the services or servers connected to the services
Not attempt to gain unauthorised access to any portion of the services
Respect the intellectual property rights of Stellanex and third parties
Comply with all applicable local, national, and international laws and regulations
Maintain the confidentiality of any login credentials or access information

Intellectual Property

The Stellanex website, platforms, and services, including all content, features, and functionality, are owned by Stellanex B.V. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website or platforms without our prior written consent, except as permitted by applicable law or as expressly provided in these Terms.

The Stellanex name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stellanex B.V. You must not use such marks without our prior written permission.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as outlined in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, Stellanex B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the services.

In no event shall Stellanex's total liability to you for all damages exceed the amount paid by you to Stellanex for the services in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Service Availability

We strive to maintain high service availability but cannot guarantee that our services will be uninterrupted or error-free. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to users.

Scheduled maintenance and updates may temporarily affect service availability. We will endeavour to provide advance notice of planned maintenance whenever possible.

Governing Law

These Terms shall be interpreted and governed by the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Rotterdam, Netherlands.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Dispute Resolution

We encourage you to contact us first to resolve any disputes. If a dispute cannot be resolved through direct communication, we are committed to resolving disputes through alternative dispute resolution mechanisms where appropriate and available under applicable law.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the services will cease immediately. If you wish to terminate your account, you may simply discontinue using the services or contact us at legal@stellanex.pro.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the services.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the services, constitute the entire agreement between you and Stellanex concerning the services and supersede all prior or contemporaneous communications and proposals between you and us.
